Other than being treated as two different domains, I guess it doesnt matter much, more what you like and prefer yourself.
Personally, I like having it like...
domain.com/forums/
domain.com/members/
domain.com/blog/
with CMS or main page in root.
At the moment domain.com is pointing to forums/ folder until I have reasonable amount of content in CMS.
We have moved the forum (and cms) to the root www.domain.com so not longer in a forum folder. Not sure if that was smart but doesnt seem to affect seo at all and looks good.
If your site IS a forum, it should be in root.
If your forum SUPPORTS your site (ie, a product vendor) /forums is a logical place for it.
If your forum has NOTHING to do with your site, treat it as its own domain on a subdomain.site.com

Besides what Brian mentioned, and because you have all in root (forum and cms) you can setup a custom rewrite rule for your "forum.php" script so it would look like a "forum/" folder as vBSEO.com:
'^forum\.php$' => 'forum/'
I suppose "index.php" and "content.php" are your CMS scripts.

Yes, I installed vB in root, but forums still have forums/ to be compatible to my old links. CMS is root, I also have my old pages available as before, but they are going to be incorporated in vB platform (use vB header and footer but same content) or in CMS.
All my new pages or apps is using vB platform, so being a part of it. (.php script, and vB template)
My new application is being done for vB, will add thousands of pages but still a part of vB platform.
